Terms of service

Welcome to Cuizly (the "Service"), operated by Cuizly Technologie Inc. ("Cuizly", "we", "our"). By accessing the Service, you accept these Terms.
1. Acceptance of Terms
By accessing or using the Service (website, iOS app, API, content), you confirm that you have read, understood and accepted these Terms as well as the policies referenced therein (e.g. Privacy Policy). If you do not accept, do not use the Service.
2. Service description
Cuizly is a platform that connects consumers to restaurants in Quebec and offers personalized culinary recommendations and offers through AI. Some features (e.g. reservations, orders, restaurant accounts) may be deployed gradually.
3. Eligibility and Account
- You must be 15 years old or older (or have parental/guardian authorization if you are under 14).
- You agree to provide accurate information and keep it up to date.
- You are responsible for the confidentiality of your credentials and activity performed under your account.
- We may suspend or terminate an account in case of violation.
4. Acceptable use
It is forbidden to:
- Disrupt or attempt to disrupt the Service, bypass security measures, engage in unauthorized reverse engineering.
- Upload, post or transmit illegal, defamatory, hateful, deceptive or infringing content.
- Use the Service in a manner contrary to applicable laws (Quebec/Canada) or these Terms.
5. Content and Intellectual Property
All texts, visuals, logos, interfaces, software and other elements of the Service are the property of Cuizly or its licensors and are protected by intellectual property laws.
Subject to your compliance with the Terms, Cuizly grants you a limited, non-exclusive, non-transferable license to access and use the Service for personal and non-commercial purposes.
You may not reproduce, distribute, modify, rent, sell or create derivative works from the Service without written authorization.
6. User-provided content
You can publish reviews, preferences, photos, etc. You retain your rights to this content.
You grant Cuizly a worldwide, non-exclusive, free, transferable and sublicensable license to use, reproduce, modify, publish, translate, distribute and display this content as part of the Service.
You guarantee that you have all necessary rights and that your content does not violate any rights or laws.
7. Third-party information, Offers and Restaurants
Menus, prices, availability, wait times, discounts, allergens and other information displayed may come from third parties and may change without notice.
Cuizly makes reasonable efforts for accuracy, without warranty of completeness.
Restaurants are responsible for their products, quality of service and compliance with health standards.
Allergies & restrictions: always check directly with the restaurant before ordering or consuming. AI recommendations are indicative.
8. Payment and reservation features (if available)
Payments, reservations or orders may be processed via third-party providers. Additional terms and fees may apply.
Cancellation/refund policies are the responsibility of the restaurant or third-party provider concerned. Cuizly is not a party to restaurant-customer transactions, except as expressly stated.
9. Data, privacy and AI
Use of the Service involves the processing of personal data (preferences, approximate location, history, etc.) to provide recommendations.
See the Privacy Policy (linked separately) to learn what data is collected, why, how it is retained and your rights.
AI-generated recommendations are based on available signals and data and may contain margins of error.
10. Third-party services and content
The Service may integrate third-party data or links (e.g. maps, reviews, external sites). Cuizly does not endorse these third parties, does not control their content and disclaims all responsibility for them. Use of third-party services is governed by their own terms.
11. Warranty disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, Cuizly disclaims all express or implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted, secure or error-free.
12. Limitation of liability
To the extent permitted by law, Cuizly, its officers, employees, partners and agents will not be liable for indirect, special, incidental, punitive or consequential damages, nor for any loss of profits, data, goodwill or opportunities, arising from the use or inability to use the Service.
If our liability is found despite the foregoing, it will be limited to the greater of (a) $100 CAD and (b) the total fees you have paid to Cuizly in the past 12 months, all subject to mandatory laws applicable in Quebec.
13. Indemnification
You agree to indemnify and hold harmless Cuizly and its affiliates against any claims, losses, liabilities, expenses (including reasonable legal fees) arising from your use of the Service, your content or your violation of these Terms or applicable laws.
14. Service and Terms modifications
We may adapt, suspend or discontinue the Service (in whole or in part) and update these Terms. Modifications take effect upon publication on this page with the update date. Continued use of the Service after publication constitutes acceptance of the revised Terms.
15. Termination
We may terminate or suspend access to the Service at any time in case of violation of the Terms or for legitimate reasons. You may stop using the Service and, if applicable, delete your account via settings or by contacting us.
16. Applicable law and disputes
These Terms are governed by the laws of Ontario and Canada applicable, without regard to conflict of laws principles. Any dispute will be submitted to the courts of the judicial district of Toronto (ON), subject to mandatory consumer protection rules.
17. Electronic communications and notices
By using the Service, you consent to receive electronic communications (emails, in-app notifications) relating to the Service. You can manage some communication preferences in your settings.
18. Content reporting and removal
If you believe that content infringes rights (e.g. intellectual property), write to us with relevant details. We will apply a reasonable notice and removal process.
19. General provisions
If a provision is found invalid, the others remain fully in force. Failure by Cuizly to exercise a right does not constitute a waiver. You may not assign your rights/obligations without our written consent; we may assign these Terms in connection with a reorganization or corporate transaction.
